AuraClip Terms of Service

1. Acceptance of Terms

By creating an account, accessing the Services, or clicking "I agree," you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy. If you are accessing or using the Services on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

2. Eligibility and Account Registration

• Age: You must be at least 13 years old to use the Services. If you are under the age of 18, you represent that you have obtained parental or guardian consent to use the Services and agree to these Terms.
• Account Information: To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify AuraClip immediately of any unauthorized use of your account or any other breach of security. AuraClip cannot and will not be liable for any loss or damage arising from your failure to comply with these requirements.
• Google OAuth: If you register using Google OAuth, you authorize us to access certain information from your Google account as permitted by your Google settings and our Privacy Policy.

3. Services Description

AuraClip provides an online platform for video and audio editing, designed for individual and team use. Our Services include:

• Account System: User login, profile management, Google OAuth integration, user roles (e.g., admin).
• Asset Library: Uploading, organizing (grouping), searching, managing (recycling, permanently deleting) video and audio files.
• Project & Editor: Creating, copying, deleting, renaming projects; timeline editing; cover frame capturing; browser-based MP4 export.
• AI Assistant: Conversational AI for assisted editing, message streaming (SSE), WebSocket for real-time workspace data interaction to aid editing tasks.
• Blog: Access to multilingual blog content.
• Team & Administration: Features for team collaboration, access control, and administrator management.

5. Prohibited Conduct

You agree not to use the Services to:

• Upload, post, transmit, or otherwise make available any User Content that is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable.
• Infringe any patent, trademark, trade secret, copyright, or other proprietary rights of any party.
• Transmit unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
• Interfere with or disrupt the Services or servers or networks connected to the Services, or disobey any requirements, procedures, policies, or regulations of networks connected to the Services.
• Attempt to gain unauthorized access to any portion of the Services or any other accounts, computer systems, or networks connected to the Services, whether through hacking, password mining, or any other means.
• Circumvent, disable, or otherwise interfere with security-related features of the Services or features that prevent or restrict use or copying of any content or enforce limitations on use of the Services or the content therein.
• Use the Services for any fraudulent or illegal purpose.
• Abuse or circumvent any limits or quotas, including those related to AI usage or points/credits.

6. Beta/Testing Period and Points Rules

AuraClip may offer beta or testing features, including a points system. During these periods:

• Points Reset: Points may be reset daily, and quotas may change at our sole discretion.
• No Guarantees: We do not guarantee the availability, functionality, accuracy, or permanence of any beta features or point allocations.
• Service Improvement: We reserve the right to modify, suspend, or terminate beta features or point rules at any time without prior notice, especially for service improvement. Such changes will be announced.
• No Monetary Value: Points have no monetary value and cannot be exchanged for cash or any other consideration.

7. Payment and Subscription (Future)

Currently, AuraClip's payment and subscription systems are not live. We do not process any payment card information or offer automatic renewals or recurring billing. Should we introduce paid features or subscription plans in the future, separate terms and conditions related to pricing, payment, and billing will apply, and we will update these Terms and provide appropriate notices as required by law.

8. Intellectual Property Rights

All rights, title, and interest in and to the Services (excluding User Content), including all software, text, images, graphics, audio, video, and other content, are and will remain the exclusive property of AuraClip and its licensors. The Services are protected by copyright, trademark, and other laws of both [Hong Kong] and foreign countries. Nothing in these Terms gives you a right to use the AuraClip name or any of the AuraClip trademarks, logos, domain names, and other distinctive brand features.

9. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

WITHOUT LIMITING THE FOREGOING, AURACLIP DOES NOT WARRANT THAT: (A) THE SERVICES WILL FUNCTION UNINTERRUPTED, SECURELY, OR BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (B) ANY DEFECTS OR ERRORS WILL BE CORRECTED; (C) THE SERVICES ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; OR (D) THE RESULTS OF USING THE SERVICES, INCLUDING AI-GENERATED CONTENT, WILL MEET YOUR REQUIREMENTS, BE ACCURATE, RELIABLE, OR ERROR-FREE. YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY AND APPROPRIATENESS OF ANY AI-GENERATED OUTPUT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AURACLIP, ITS AFFILIATES, AGENTS, DIRECTORS, EMPLOYEES, SUPPLIERS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES, INCLUDING ANY AI-GENERATED CONTENT.

IN NO EVENT WILL AURACLIP'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICES EXCEED THE GREATER OF: (A) THE AMOUNT YOU HAVE PAID TO AURACLIP FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS ($100).

Some jurisdictions do not allow the exclusion of certain warranties or the exclusion or limitation of liability for consequential or incidental damages, so the limitations above may not apply to you.

11. Indemnification

You agree to defend, indemnify, and hold harmless AuraClip and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of (a) your use of and access to the Services, including any data or content transmitted or received by you; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any right of privacy or intellectual property rights; (d) your violation of any applicable law, rule, or regulation; (e) any User Content or any content that is submitted via your account; or (f) any other party's access and use of the Services with your unique username, password, or other appropriate security code.

12. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of [Hong Kong], without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be submitted to the exclusive jurisdiction of the courts located in [Hong Kong].

For EU consumers, you may have the right to resolve disputes through the European Online Dispute Resolution platform at http://ec.europa.eu/consumers/odr/.

13. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Services after any revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, you are no longer authorized to use the Services.

14. Termination

We may terminate or suspend your account and bar access to the Services immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation a breach of the Terms. Upon termination, your right to use the Services will immediately cease. If you wish to terminate your account, you may simply discontinue using the Services or contact us at support@auraclip.ai.

15. Miscellaneous

• Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and AuraClip regarding our Services.
• Waiver: No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and AuraClip's failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions of these Terms will remain in full force and effect.
• Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign or transfer our rights and obligations under these Terms without restriction.
